NOTICE OF SWG CONSTITUTION AND BYLAW CHANGES
The following Notice of Motion is submitted to the SWG membership for consideration. The following amendments will be presented at the Annual General Meeting to be held on October 25, 2025, at the Saskatoon Park Town Hotel.
II Board of Directors
- Number. The Board of Directors of the Guild shall consist of a minimum of three and a maximum of ten members in good standing.
- Officers: The Directors shall consist of an elected President and up to eight elected Members-at-Large and include the Past President. A seat on the Board shall also be reserved for the immediate Past-President. The Officers of the Board of Directors shall consist of the President, Vice-President, and Past President.
- Terms.
- The President shall be elected for a one-year term by a general vote of members present at the AGM. A President may serve up to 3 consecutive years but must be re-elected by the membership each year at the AGM.
- The Vice-President shall be elected by the new Board at the first meeting following the AGM.
- The immediate Past President shall serve as a Director for current President’s first term, with the option of serving as Past President for the second and/or third term of the current President.
- All other Directors shall be elected for two-year terms by a general vote at the AGM. Directors shall be elected on a rotating basis with four positions filled every year. No Director shall serve more than
twothree consecutive terms.
Rationale: Saskatchewan Writers' Guild Board of Directors remains dedicated to ensuring that a strong plan for governance succession exists.
V General Meetings
- Annual General Meeting. An Annual General Meeting of the Guild shall be held each year on a date to be fixed by the Directors.
- Special Meetings. A Special General Meeting of the Guild may be called by the President as and when it is considered necessary and the President shall call a Special General Meeting when requested to do so in writing by at least five percent of the membership.
- Notice of Meeting of Members. Written notice of not fewer than fifteen (15) and not more than fifty (50) days of all annual and special meetings of the Guild shall be given to all members, specifying the time and place of such a meeting.
- Quorum. No fewer than twenty members in good standing of the Saskatchewan Writers’ Guild,
personally present, physically or digitally present shall constitute a quorum at any general meeting of the Guild.
Rationale: The Saskatchewan Writers’ Guild has expanded options for length of service to the Board and for attendance at the AGM.
